The document is drafted and kept up to date by an entity\u2019s\u00a0<strong>Ethics Committee<\/strong>\u00a0and outlines said entity\u2019s\u00a0<strong>shared moral framework<\/strong>\u00a0within the\u00a0<strong>Relevant Legal Frameworks<\/strong>, providing context to instances of\u00a0<strong>Ethical Choice<\/strong>.<\/p><p>It should set out the entity\u2019s moral principles and the associated standards of responsible and professional conduct for its employees, demonstrating due consideration of relevant risks to: human rights, equalities, anti-discrimination, access to goods and services, children\u2019s laws, and other risks associated with the entity\u2019s business activities (and associated data processing). The code of ethics should be detailed enough to act as a reasonable guide for employees to gauge when they are moving up against an ethical boundary in their activities.<\/p><p>In order to function as intended, a reasonable code must, at the very least be compatible with, if not explicitly affirm, those values which are fundamental to the Independent Audit of AI Systems (IAAIS). These include\u00a0 transparency,\u00a0 accountability,\u00a0 and\u00a0 trust.\u00a0 A code of ethics must be transparent in that it must publicly disclose an entity\u2019s shared moral framework.\u00a0<\/p><ul><li><span style=\"font-style: inherit;font-weight: inherit\">If the code of ethics is not publicly disclosed, an organization\u2019s shared moral framework is not transparent, and thus it can neither independently nor objectively be examined (e.g., by consumers, data subjects, users, auditors, other stakeholders).\u00a0\u00a0<\/span><\/li><li><span style=\"font-style: inherit;font-weight: inherit\">Furthermore, failing public disclosure of a declared shared moral framework, an entity\u2019s actions cannot be judged for alignment with said proposed framework (do they do as they say?).\u00a0<\/span><\/li><\/ul><p><span style=\"font-style: inherit;font-weight: inherit\">The code must also be transparent in that it must contain enough detail and clarity regarding its shared moral framework to allow for a reasonable degree of accountability. That is to say, it should allow for a reasonable degree of distinction between those actions and behaviors that conform to said framework, and those that violate them. This is to allow the code to fulfill the function of building trust through accountability.<\/span><\/p><p>\u00a0<\/p><p><strong><u>Criteria for a good CoE:<\/u><\/strong><\/p><p><strong>N.B.\u00a0<\/strong>\u2018Must\u2019 statements = sufficient, \u2018Should\u2019 statements = mature<\/p><ol><li>Must be\u00a0<strong>publicly disclosed<\/strong>.<\/li><li>Must be found in the\u00a0<strong>employee handbook<\/strong>.<\/li><li>Must be drafted, kept up to date, and overseen by the entity\u2019s\u00a0<strong>Ethics Committee,<\/strong>\u00a0or, if applicable, by a recognised body of professional ethics (e.g., codes\/boards of medical ethics, AICPA, Bar Associations).<\/li><li>Must set out a\u00a0<strong>shared moral framework<\/strong>\/set of moral principles<\/li><li>Must take into account\/address\u00a0<strong>Relevant Legal Frameworks<\/strong>\u00a0(show that the entity take\u2019s relevant risks into account)<ul><li>1. Law as it applies to Data Subjects (specific to the jurisdiction of Data Subject)<\/li><li>2. Consideration of Human Rights, equalities, anti-discrimination law, access to goods and services, children\u2019s law, laws regarding AI\/data processing platforms or sector<ul><li>2.1. Other relevant risks (personal gain, sustainability, etc.)<\/li><\/ul><\/li><\/ul><\/li><\/ol><ol start=\"6\"><li>Must be sufficiently detailed to give context to\u00a0<strong>Ethical Choice<\/strong>\u00a0(explicitly = preferred because instances must be disclosed)<\/li><li>Must affirm that the entity also has a <b>Code of Data Ethics<\/b>.<\/li><li>Must outline the relation between the <b>Code of Ethics<\/b> and the <b>Code of Data Ethics<\/b> as well as their respective scope and purpose.<\/li><li>Must affirm that the entity has an <b>Anti-Discrimination Policy<\/b>.<\/li><li>Must affirm that the entity has a <b>Diversity-Policy<\/b><\/li><li>Must be compatible with the values of <b>transparency<\/b>, <b>accountability<\/b>, and <b>trust\u00a0<\/b><\/li><li>must be transparent (<b>publicly disclosed<\/b> \u2013 see point 1)<\/li><li>must be <b>transparent <\/b>i.e. sufficiently detailed and precise in its formulation of a\u00a0 shared moral framework to allow for stakeholders to reasonably judge whether or not the entity and\/or its employees is\/are abiding by said moral framework\u00a0<\/li><li>must allow for <b>accountability <\/b>through trust as a consequence of above <b>transparency<\/b><\/li><li>Must be <b>internally coherent<\/b> (must not contradict itself)<\/li><li>Should contain a commitment to making employees aware of the <b>Code of Ethics<\/b> and its presence in the <b>Employee Handbook<\/b>.<\/li><li>Should contain a commitment to making employees aware of the <b>Code of Data point 5) and value-based (see point 4).<\/li><li>Should generally cover 5 key areas: integrity, objectivity, professional competence, confidentiality, and professional behavior (or something similar)<\/li><li>Should include a commitment to regular (no less than annual) review or reconfirmation of values and practices (including the CoE, CoDE, Anti-Discrimination Policy, and Diversity Policy)<\/li><li>Should recognise and urge its employees to respect the philosophical <b>principle of charity<\/b> (AKA charitable interpretation) when engaging in discussion with other parties (colleagues, clients, superiors, etc.)<\/li><li>Should contain a framework or set of procedures to guide ethics officers in determining the source of reasonably diverse inputs and multi-stakeholder
